The Malaysian car company Proton and Claudio Castiglioni signed an investment agreement for the entering of Proton, with a stake of control, in the capital of MV Agusta Group. The agreement confirms the binding offer approved by Proton's board of directors on the 25 of may, in which Proton will submit a capital increase of 70 mil. euro in MV Agusta leading to a restructuring of the credits and the exit in bonis of the group from the procedure of "controlled administration". The objective of the new partnership is to develop the presence and increase the value of the brands Cagiva, Husqvarna and MV Agusta in the international markets by the many industrial and commercial synergies that the two Groups shares. Proton, a public company listed in the Kuala Lumpur stock exchange, is one of the main Asian car manufacturer. Owner of the Lotus brand, the group is pursuing an expansion in the international markets through industrial alliances with prestigious companies in the automotive industry. The company financials of last year shows revenues for 1.5 bil euro, with a net profit of 114,5 mil. euro and a workforce of over 9,000 employees. In this deal Proton is assisted by Societe Generale as financial advisor and by the legals White & case, while the Castiglioni family is assisted by Lazard for the financial part and by NTCM for the legal aspects.
Proton to complete buy by Q4
NATIONAL carmaker Proton Holdings Bhd’s acquisition of a controlling stake in Italian motorcycle maker MV Agusta SpA is expected to be completed by the final quarter of this year, Proton Holdings told Bursa Malaysia Bhd yesterday. In a reply to the exchange’s query on a Business Times report yesterday, Proton said the exercise will be undertaken via its wholly-owned subsidiary Proton Capital Sdn Bhd. “Proton Capital has entered into an investment agreement for the acquisition of a controlling stake in MV Agusta,” it said. The carmaker said the completion of the purchase is subject to the approval of MV Agusta’s creditors as the motorcycle maker has been subject to “controlled administration”, a court supervised reorganisation procedure under Italy’s bankruptcy law since November 2002. The process is also dependent on the revocation by the Court of Varese of the “controlled administration” and the applicable regulatory approvals. Under the deal, Proton will inject 70 million euros (1 euro = RM4.75) to gain control of MV Agusta.
Top secret plans to save Birmingham car-maker MG Rover and double production at Longbridge can today be revealed by the Sunday Mercury.
The next four years will see the loss-making car-builder introduce three brand new cars and seven revised models in a bid to move it into profit and secure its long-term future.
And the good news is that all the new models will be built in Birmingham as well as abroad - safeguarding hundreds of jobs at the Longbridge plant.
Six of the cars, including the crucial new medium-sized model, will be built in conjunction with Malaysian firm Proton with which MG Rover signed a business agreement earlier this year.
The replacement for the Rover 75 is expected to be a joint development with the Chinese-based Shanghai Automotive Industry Corporation which also signed a deal with Rover recently.
In a boost to MG Rover's 6,000-plus workers and thousands of employees in the supply chain, industry insiders predict the plans will see car production at Longbridge almost double.
Rover bosses are remaining tight-lipped, but the Sunday Mercury understands one of the first new cars to appear will be a brand new car to slot between the existing 25 and 45 models. In a new naming policy, the model - due before 2006 - is expected to be called the R3 instead of the Rover 35.
Company bosses feel that the new model names reflect Rover's determination to move with the times and compete with rivals offering sexier packages in the motor market.
The R3 will be based on the Ford Focus-sized Proton Gen2, a car which has recently gone on sale in Malaysia.
Industry insiders say that a complete Gen2 production line is being prepared for Longbridge so that MG Rover can build the R3 in-house.
The car will use Proton's 1.4 and 1.6 litre petrol engines, with a diesel unit likely to be sourced from another manufacturer.
Further developments will come in 2006 with replacements for the Rover 25 and CityRover.
The 25's successor, likely to be called R2, will again be co-developed with Proton and be based on the Malaysian company's secret TRM supermini.
The car, which will be fitted with 1.2 litre engines, will challenge the Ford Fiesta and Vauxhall Corsa - and will be built by both companies at their own plants.
The R2, which will enable Rover to compete in the all-important, fast-growing supermini market, is likely to make its debut at the Geneva Motor Show in March 2006.
Experts predict that both the R2 and R3 will be good to drive thanks to input from Proton-owned Lotus - the Norfolk firm with a reputation for world-class chassis engineering.
MG versions of the cars, called Z2 and Z3, are also anticipated and will feature sportier styling and suspension settings.
Meanwhile the replacement for the CityRover budget car will continue to be built in India by Tata but MG Rover engineers will work more closely with the firm to make sure it meets European tastes.
MG Rover's contribution to the alliance with Proton will be the long-awaited Rover 45 replacement, likely to be called the R4.
Development of the new medium-sized car has been beset by problems, resulting in it being more than a year late and delaying the company's move into profit.
The model, styled after Rover TCV's concept, is now expected late next year and is set to be built by both companies. An MG version, tipped to be sold as the Z4, is also expected.
The final piece of the jigsaw will come in 2008 when a replacement for the Rover 75 is developed.
It is expected to be produced with China's SAIC and be built both in Birmingham and the Far East.
It will be called the R6, leaving the R5 name for another model - possibly a new people-carrier. There is also likely to be an MG-badged Z6.
MG Rover have refused to confirm or deny the model plans.
But motor industry guru Professor Garel Rhys told the Sunday Mercury he believed these were the sort of models MG Rover needed to build to ensure its future.
"It's very heartening to hear about new vehicles like these," he said. "Working with partners will see MG Rover sharing costs and building more cars at Longbridge.
"Production could be increased from the current 130,000 a year to 250,000 a year. If the cars are ready on time I expect MG Rover to start seeing profit in 2006."
MG Rover, which is suffering from falling sales, made a £95 million loss in 2002.
The company has also been at the centre of controversy over the rewards extracted from the business by the four founding directors of its parent company Phoenix.'
Proton will start selling its new Gen-2 five-door hatchback in the UK this winter – but the Malaysian company last week shut the door on a future deal with Rover, saying it has ended all negotiations. A brief statement said that any collaboration, which could have spawned a Roverised Gen-2 to replace the 25 (right), was ‘not viable’ and had ended. The news leaves Rover’s new-car strategy with another problem.
As we reveal in this week's magazine, MG Rover had earmarked a rebadged version of the Proton as a stopgap replacement for the 25 supermini, plugging the void between the expiry of its current crop of cars and the arrival of the its all-important RD/X60, or new mid-range vehicle, in 2006. Now that Proton has ruled that out, Longbridge is faced with an even longer and more drawn-out wait, and will have to come up with other ways to make its ageing products profitable.
The Gen-2 is Proton’s Focus rival and is designed to revive the brand which sold just 1861 cars last year in the UK. It goes on sale in September with prices from £8995 for a 109bhp 1.6 GL with twin front airbags, alarm/immobiliser, air-con, electric windows, parking sensors and CD player.
Proton Holdings Bhd expects to sign a partnership agreement with a foreign carmaker by year-end, its chief executive officer Tengku Tan Sri Mahaleel Tengku Ariff says.
Proton had been talking to several foreign companies but would only tie up with one, he said after the company's AGM in Subang Jaya yesterday.
Mahaleel declined to name Proton's prospective partners but he declined to elaborate on whether it would involve foreign equity or technical partnership.
Prime Minister Datuk Seri Abdullah Ahmad Badawi had suggested that Proton seek a strategic partner to remain viable in an increasingly competitive environment.
The car industry will also see the full implementation of the Afta regime next year.
Mahaleel said this year, Proton expected to increase its spending on production quality improvement and engine development by 10% from the RM543 million it spent last year.
He also said Proton would launch another replacement model, either for Satria or Tiara, by year-end. It launched GEN.2 as replacement for the Wira model last February.
On sales, Mahaleel said Proton expected to sell 200,000 cars in the current financial year ending March 31, 2005. Its sales fell 29% to 152,648 units in FY2004.
He said Proton hoped to regain its 50% market share by 2005. Its recorded a market share of 45% in the first half of this year, compared with 53% a year earlier.
Mahaleel also denied a news report that Proton would launch a multi-purpose vehicle (MPV) in October. He said the MPV was being developed but would not reveal when it would be launched.
The report said the MPV would be priced at less than RM100,000.
